Terms of Service

1. Agreement

This website at stoainstitute.com (the "Site") is operated by STO Enterprises LLC, a limited liability company organised under the laws of the State of Wyoming, United States of America, trading as STOA Institute ("STOA Institute," "we," "us," or "our"). By accessing or using the Site, you ("you" or "user") agree to be bound by these Terms of Service (the "Terms") and by our Privacy Policy, which is incorporated by reference.

If you do not agree with these Terms, please do not use the Site.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

2. What the site is

Stoainstitute.com is the marketing, information, and programme registration website for STOA Institute, a practitioner-led executive education institute specialising in enterprise AI training. The Site exists to describe our programmes, share our methodology, let visitors learn about our approach, register for training programmes, book Training Needs Analysis calls, request brochures, and register for webinars.

The Site is not a software product, a SaaS application, an e-learning platform with on-demand video content, a marketplace, or a community forum.

3. Programme registration and payment

3.1 Booking and registration

When you register for a programme through the Site, you are entering into a binding agreement to attend that programme at the stated date and price. Registration is confirmed when payment is received (for credit card payments) or when an invoice is issued and accepted (for invoice payments).

By registering, you confirm that you are authorised to make the booking on behalf of yourself or your organisation and that the information you provide is accurate.

3.2 Pricing

All prices displayed on the Site are in United States Dollars (USD) unless otherwise stated. Prices are exclusive of any applicable taxes, duties, or levies that may apply in your jurisdiction. Where applicable, taxes will be calculated and displayed at checkout.

Prices are subject to change. Any price change will not affect registrations already confirmed and paid for.

3.3 Payment methods

We accept payment by credit card (processed securely by Stripe) and by invoice. Invoice payments are due within 14 days of issue unless otherwise agreed in writing. STOA Institute reserves the right to withhold programme access or materials until payment is received.

3.4 What is included

Unless otherwise stated, the programme fee includes: attendance at all sessions, all learning materials in soft copy, exercise handouts and templates, a STOA Institute Certificate of Completion, a guided pathway to the relevant Google certificate, and 30 days of post-programme Q&A support. The fee does not include travel, accommodation, meals, or any third-party software subscriptions that may be used during the programme.

4. No professional advice

The content on stoainstitute.com, including programme descriptions, blog posts, case studies, frameworks, and methodology descriptions, is provided for general informational and educational purposes only. It is not legal advice, accounting advice, tax advice, investment advice, or professional advice of any kind.

Our training programmes are educational in nature. While we teach practical skills and frameworks that can be applied in the workplace, nothing in our programmes constitutes a recommendation to implement any specific technology, vendor, or business strategy without appropriate internal review and professional advice.

Before acting on anything you learn in a STOA Institute programme, consult appropriate qualified professionals in your own jurisdiction and organisation.

5. Intellectual property

5.1 Our content

All content on stoainstitute.com and in our programme materials, including text, graphics, logos, page layout, design, visual identity, source code, methodology descriptions, frameworks (including the C.L.E.A.R. Prompt Engineering Framework and the TEA™ Delivery Framework), and the underlying concepts expressed, is owned by STOA Institute or our licensors and is protected by copyright, trademark, and other intellectual property laws.

You may view the Site and share links to it freely. You may quote short passages with attribution for legitimate editorial, educational, or commentary purposes. You may not copy, reproduce, republish, modify, translate, or redistribute substantial portions of the Site's content or programme materials for commercial purposes without our written permission.

"STOA Institute," the STOA Institute logo, "C.L.E.A.R.," and "TEA™" are trademarks of STO Enterprises LLC. Nothing on the Site grants you a licence to use our trademarks.

5.2 Delegate outputs

Exercise outputs, prompt libraries, action plans, automation projects, and other work products created by delegates during our programmes belong to the delegate or their organisation, not to STOA Institute. We do not claim ownership of work you produce during training.

By participating in a programme, you grant us a limited, non-exclusive, royalty-free licence to use anonymised, non-attributable examples of exercise outputs for the purpose of improving our training materials. We will never use identifiable delegate work without explicit written permission.

5.3 Your content

When you submit a form, email us, or otherwise send us information through the Site, you retain ownership of that information. You grant us a limited, non-exclusive, royalty-free licence to use it solely for the purpose of responding to your enquiry, providing the services you have requested, and operating our business.

6. Linking and framing

You may link to stoainstitute.com from your own website or in written communications, provided the link does not imply any endorsement, sponsorship, or affiliation that does not exist. You may not frame, iframe, embed, or otherwise incorporate stoainstitute.com content inside another website or service without our written permission.

7. Acceptable use

When using the Site, you agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorised access to the Site, any related systems, or any data that is not intended to be public
  • Interfere with or disrupt the Site or the networks it relies on
  • Use any automated system, bot, scraper, or similar tool to access, copy, or monitor the Site without our written permission, except for legitimate search engine indexing
  • Use the Site to transmit any virus, malware, or harmful code
  • Use content from the Site or our programme materials, in whole or in substantial part, to train AI or machine learning models, except with our written permission
  • Record, transcribe, or redistribute programme sessions, webinars, or any live content delivered by STOA Institute without our written permission
  • Impersonate STOA Institute, any STOA Institute team member, or any other individual or organisation
  • Misrepresent your identity or affiliation when submitting a form, registering for a programme, or contacting us

8. Third-party links and services

Stoainstitute.com may contain links to third-party websites and may use embedded third-party services (for example, scheduling tools, payment processing, form tools, or analytics tools). We do not control these third parties and we are not responsible for their content, practices, or availability.

Your use of any third-party website or service is governed by the terms and privacy policy of that third party. We encourage you to review those terms before engaging with any linked or embedded service.

9. Programme delivery

9.1 Delivery format

Programmes are delivered in the format stated at the time of registration (in-person, live online, or hybrid). STOA Institute reserves the right to change the delivery format due to circumstances beyond our reasonable control (for example, travel restrictions, venue issues, or instructor illness), provided the programme content and duration remain materially the same.

9.2 Minimum attendance

Open-enrolment programmes require a minimum number of registered delegates to run. If a programme does not reach minimum attendance, STOA Institute will offer delegates the choice of transferring to the next available date or receiving a full refund.

9.3 Programme content

We reserve the right to update programme content, tools, and exercises between the time of registration and the programme delivery date. The AI landscape changes rapidly, and keeping content current is part of our commitment to quality. Material changes to programme scope or objectives will be communicated to registered delegates in advance.

9.4 Certificates

STOA Institute Certificates of Completion are issued to delegates who attend the full programme. Certificates are issued by STOA Institute (a trading name of STO Enterprises LLC) and do not represent a qualification from a university, professional body, or accreditation organisation unless explicitly stated.

10. Testimonials and case studies

Testimonials, quotes, and case studies published on the Site describe real programmes and reflect real feedback approved by the delegate or their organisation before publication. In cases where a delegate has requested confidentiality, identifying details may be replaced with generalised descriptions while preserving the underlying authenticity of the feedback.

Results described in testimonials and case studies are specific to the delegates and contexts in which they were achieved. They are not a guarantee that similar results will be achieved in your programme.

If you have given a testimonial or been featured in a case study and you want it removed or amended, email info@stoainstitute.com with "Testimonial Request" in the subject line. We will remove or amend the content within 14 business days of receiving a verified request.

11. Disclaimers

The Site and all content on it are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, STOA Institute disclaims all warranties, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation.

We do not warrant that the Site will be uninterrupted or error-free, that defects will be corrected, that the Site or the servers that make it available are free of viruses or other harmful components, or that any information on the Site is accurate, complete, or up to date.

Any reliance you place on content from the Site is strictly at your own risk.

12. Limitation of liability

To the fullest extent permitted by applicable law, under no circumstances shall STOA Institute, its affiliates, officers, directors, employees, contractors, agents, or instructors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with your use of the Site or attendance at our programmes, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or any other commercial damages or losses, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if STOA Institute has been advised of the possibility of such damages.

In jurisdictions that do not allow the exclusion or limitation of certain categories of damages, STOA Institute's liability is limited to the fullest extent permitted by applicable law.

Nothing in these Terms limits liability for fraud, wilful misconduct, death, or personal injury where such limitation is prohibited by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless STOA Institute and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Site, your misuse of programme materials, or your violation of any applicable law or the rights of any third party.

14. Governing law and dispute resolution

These Terms and any dispute or claim arising out of or in connection with them or the Site (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, excluding its conflict of laws principles.

Any dispute arising out of or in connection with these Terms or the Site, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration under the LCIA Rules, with the seat of arbitration in London, United Kingdom, in the English language, before a single arbitrator.

Nothing in this section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights pending the outcome of arbitration.

15. Termination

We may suspend or terminate your access to all or part of the Site at any time, for any reason, without notice and without liability to you. All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnification, limitation of liability, and governing law.

16. Severability

If any provision of these Terms is found by a court or tribunal of competent jurisdiction to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

17. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and STOA Institute regarding your use of the Site. They supersede any prior agreements or communications on the same subject.

These Terms do not replace or amend any separate written engagement agreement, statement of work, or training agreement between STOA Institute and a client organisation. Where such an agreement exists, it governs the specific services provided under it.

18. Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms in whole or in part to any affiliated entity, successor in interest, or acquirer of all or substantially all of our assets or business.


Cancellation and Refund Policy

Effective: April 2026

This policy applies to all STOA Institute open-enrolment programmes, in-house training engagements, and webinar registrations purchased through stoainstitute.com or through direct agreement with STOA Institute.

1. Open-enrolment programmes

1.1 Cancellation by delegate or organisation

  • More than 14 days before the programme start date: full refund, less any payment processing fees charged by our payment provider
  • 7 to 14 days before the programme start date: 50% refund, or free transfer to the next available date of the same programme
  • Less than 7 days before the programme start date: no refund. Transfer to the next available date may be offered at STOA Institute's discretion
  • No-show on the day: no refund and no transfer

1.2 Delegate substitution

You may substitute a different delegate from the same organisation at any time before the programme starts, at no additional cost. Notify us by email at info@stoainstitute.com with the replacement delegate's name and email.

1.3 Cancellation by STOA Institute

If STOA Institute cancels a programme (for example, due to insufficient enrolment, instructor illness, or force majeure), registered delegates will be offered the choice of:

  • Transferring to the next available date at no additional cost
  • Receiving a full refund of the programme fee

STOA Institute is not liable for any travel, accommodation, or other incidental costs incurred by delegates in connection with a cancelled programme.

2. In-house and private programmes

Cancellation and rescheduling terms for in-house and private programmes are governed by the engagement agreement or statement of work between STOA Institute and the client organisation. Where no separate agreement exists, the following terms apply:

  • More than 21 days before delivery: cancellation with no fee. Any upfront payments refunded in full.
  • 14 to 21 days before delivery: 25% of the agreed programme fee is retained to cover preparation costs. Remainder refunded.
  • Less than 14 days before delivery: 50% of the agreed programme fee is retained. Remainder refunded.
  • Rescheduling: free rescheduling with 14 days' notice, subject to instructor availability. Rescheduling with less than 14 days' notice may incur a rescheduling fee.

3. Webinars

Webinars offered by STOA Institute are currently provided free of charge. No refund policy applies. If a webinar is cancelled, registered attendees will be notified by email and offered access to a rescheduled session or a recording where available.

4. How refunds are processed

Refunds for credit card payments are processed back to the original payment method via Stripe. Please allow 5 to 10 business days for the refund to appear on your statement.

Refunds for invoice payments are processed by bank transfer to the account from which the original payment was made, within 14 business days of the refund being approved.

5. Disputes

If you believe you are entitled to a refund that has not been offered, or if you are dissatisfied with a programme you have attended, email info@stoainstitute.com with "Refund Request" in the subject line. We will review your case and respond within 7 business days.

We take delegate satisfaction seriously. If a programme did not meet the objectives described at the time of registration due to a failure on our part, we will work with you to find a fair resolution, which may include a partial refund, credit toward a future programme, or additional support.
